in their own way.Team and Role:Logitech is seeking an Associate
General Counsel (Corporate & Securities) to join the Legal
Department's corporate team. You will be an integral member of the
Legal Department and working in a dynamic environment to support
the corporate governance and securities law needs of Logitech. You
will work collaboratively with various teams across the
organization, including Finance/Accounting, Investor Relations,
Communications, and others, as well as with external counsel. Your

- Ensure compliance with SEC and Nasdaq rules and requirements,
including preparation of SEC reports (Form 10-K, Form 10-Q, Form
8-K) and other public disclosures
- Prepare the company's proxy statement and coordinate matters
related to the company's annual shareholders meeting
- Serve as key contact to Logitech's Board of Directors, board
committees and management for corporate governance matters. Explain
and articulate legal and governance requirements in a clear and
practical manner
- Create and update board and committee calendars, meeting
agendas and board materials and ensure communication and completion
of follow up items from board and committee meetings
- Update corporate charters and documents to address applicable
U.S. requirements through partnership with Swiss counsel
- Advise on governance related matters including SEC
requirements, input from investor advisory firms such as ISS and
Glass Lewis
- Support activities relating to the annual shareholder
meeting
- Implement organizational or team objectives and interpret
company policies
- Assist with the successful completion of major programs and
projects, as applicable
- Coordinate with and efficiently manage external counselKey
Qualifications:For consideration, you must bring the following
minimum skills and experiences to our team:
- 10+ years of relevant experience; a combination of large law
firm and in-house experience is preferred
- Member in good standing of a state bar, preferably California
or New York
- Substantial public company experience advising Boards of
Directors and C-Suite executives
- Strong familiarity with corporate governance policies and
trends, especially those related to SEC disclosure, ISS and Glass
LewisAdditional Requirements:

- Robust experience guiding clients with clear, practical, and
actionable advice
- Ability to thrive in a fast-paced and dynamic environment
- Ability to engage cross-functional teams to proactively
identify legal issues and develop solutions to help achieve
business objectives across multiple jurisdictions

position offers an annual salary of typically between $ 237K and $
388K dependent on location and experience. In certain
circumstances, higher compensation will be considered based on the
